SUMMIT 2026
Subject
These Terms and Conditions govern the rights and obligations of Agraya GmbH, Spichernstr. 55, 50672 Cologne, Germany (“Organizer”) and the ticket purchaser (“Participant”) in connection with the AGRAYA SUMMIT 2026 (“Event”).
Obligations of the Organizer
Subject to the Participant’s proper and timely performance of its obligations under this Agreement and these Terms and Conditions (in particular, subject to the payment of the Ticket Fees), the Organizer shall provide the Participant with the tickets he purchased.
The Organizer shall not be responsible for any non-performance, improper performance, or delays in performance of the services caused by the Participants failure to fulfil their obligations, if and to the extent that the Organizer’s ability to provide the services is adversely affected by such delay or failure.
Ticket Fee
The Participant shall pay the Organizer the fee for the ticket (“Ticket Fee”). The Ticket Fee does not include any applicable duties, tariffs and taxes, in particular VAT, unless stated otherwise. The Event takes place in Italy; therefore 22% Italian VAT will be added to all ticket fees.
The Participant shall be responsible for the payment of all fees.
All amounts payable under this Agreement will be made without setoff or counterclaim, and without any deduction or withholding, unless such counterclaims have been established by a final and conclusive court judgement, have been asserted before a court and are ready for decision, or are undisputed.
Cancellation Policy
Cancellations shall be submitted in writing (email is sufficient) to the Organizer.
Cancellations received up to 60 days before the event shall be refunded at 80% of the ticket price. Cancellations received between 59 and 30 days before the event shall be refunded at 50% of the ticket price. Cancellations received less than 30 days before the event are not eligible for a refund.
Alternatively, the Participant may nominate a substitute attendee from the same company at no additional cost, provided that written notice is received prior to the event.
The above cancellation fees represent a reasonable estimate of damages incurred.
Cancellation of the Event
The Organizer reserves the right to cancel the Event in justified cases (e.g., force majeure, insufficient number of participants, etc.). In such case, the Organizer shall be entitled to terminate this Agreement for good cause and shall provide reasonable advance notice to the Participant. The Ticket Fee shall then be refunded in full.
Good cause shall include any other circumstances beyond the Organizer’s reasonable control that render the Event impossible or unreasonably burdensome.
The Organizer shall not be liable for any travel, accommodation or other consequential costs.
Liability
The Organizer’s liability shall be limited to cases of intent and gross negligence. Liability for ordinary negligence is excluded, except in cases of injury to life, body or health.
Governing Law and Jurisdiction
This Agreement shall be governed solely by the laws of the Federal Republic of Germany, excluding the applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
In case of any disputes arising from or in connection with this Agreement, the courts of Cologne, Germany, shall have exclusive jurisdiction.
Miscellaneous
If individual provisions of this Agreement are or become invalid, or if the Agreement contains an unintended gap, the remaining provisions shall continue in full force and effect. In such case, the Parties undertake to agree on a valid provision that most closely reflects the Parties’ economic intent to replace the invalid provision or fill the gap.

Any amendments to these Terms and Conditions must be made in writing.
